Terms of Service

By accessing or using SkillGrid ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 18 years of age, or if you are under 18, that you have obtained parental or guardian consent to use the Service.

SkillGrid is a web-based platform that uses artificial intelligence to generate competency matrices for IT professionals and other roles. The Service allows users to:

• Create customized competency matrices based on role requirements
• Define skill levels and grade progressions
• Export matrices to various formats (Excel, CSV)
• Store and manage multiple matrices
• Use AI assistance to refine and improve matrices

To access certain features of the Service, you must register for an account. When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Immediately notify us of any unauthorized use of your account

We reserve the right to suspend or terminate your account if any information provided is inaccurate, false, or violates these Terms.

Free Plan

The Free plan includes limited access to the Service with restrictions on the number of matrices you can generate per month and available features.

Pro Plan

The Pro plan ($29/month) provides unlimited matrix generations, access to all features, AI assistant capabilities, and priority support.

Billing

• Subscriptions are billed in advance on a monthly basis
• All fees are non-refundable except as required by law
• You authorize us to charge your payment method automatically
• Prices may change with 30 days notice to subscribers
• Failed payments may result in service suspension

You may cancel your subscription at any time through your account settings. Upon cancellation:

• Your subscription will remain active until the end of the current billing period
• You will retain access to your existing matrices
• No refunds will be provided for partial months
• Your account will revert to the Free plan after the subscription ends

We may offer refunds at our sole discretion in exceptional circumstances. To request a refund, please contact our support team within 7 days of your purchase.

Our Intellectual Property

The Service, including its original content, features, and functionality, is owned by SkillGrid and is protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service.

Your Content

You retain ownership of any content you create using the Service, including the competency matrices you generate. By using the Service, you grant us a limited license to store, display, and process your content solely to provide the Service to you.

The competency matrices and content generated by our AI are provided "as is" for your use. You acknowledge that:

• AI-generated content may require review and editing for your specific needs
• We do not guarantee the accuracy or completeness of generated content
• You are responsible for reviewing and validating all generated content
• Generated matrices are suggestions and should be adapted to your organization
• We are not liable for decisions made based on AI-generated content

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Transmit harmful code, viruses, or malware
• Attempt to gain unauthorized access to our systems
• Use the Service for any fraudulent or deceptive purpose
• Resell or redistribute the Service without authorization
• Interfere with the proper functioning of the Service
• Scrape, data mine, or extract data from the Service
• Use automated systems to access the Service without permission

We strive to provide reliable access to the Service but do not guarantee uninterrupted availability. We may:

• Perform scheduled maintenance with advance notice when possible
• Experience unplanned downtime due to technical issues
• Modify, suspend, or discontinue features at any time
• Limit access during periods of high demand

We will not be liable for any loss or damage resulting from service unavailability.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKILLGRID AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, data, or business opportunities
• Service interruptions or data loss
• Errors or inaccuracies in AI-generated content
• Unauthorized access to your account or data
• Any third-party conduct on the Service

Our total liability shall not exceed the amount you paid to us in the twelve months preceding the claim.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be error-free, secure, or available at all times, or that AI-generated content will meet your specific requirements.

You agree to indemnify and hold harmless SkillGrid and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Content you create or submit through the Service

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including:

• Breach of these Terms
• Fraudulent, abusive, or illegal activity
• Non-payment of applicable fees
• Extended periods of inactivity
• Requests by law enforcement or government agencies

Upon termination, your right to use the Service will immediately cease. You may export your data before termination where possible.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which SkillGrid operates, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of that jurisdiction.

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
